Terms of Service

TL;DR: You must be 18+. Be a decent human being. Don't use the app to harm people. We can terminate accounts that violate these terms. Governing law: New Jersey, USA.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SocialIRL Inc. ("SocialIRL," "we," "our," or "us") governing your access to and use of the SocialIRL mobile application, website, and related services (collectively, the "Service").
By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.
2. Eligibility
To use SocialIRL, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement in your jurisdiction
- Not be prohibited from using the Service under applicable law
- Not have had a previous SocialIRL account terminated for violation of these Terms
- Provide accurate and complete information when creating your account
By using the Service, you represent and warrant that you meet all of these requirements. We reserve the right to verify your eligibility at any time and to suspend or terminate accounts that do not meet these requirements. Age verification is performed at sign-up; if we discover that a user is under 18, the account will be immediately terminated and all data deleted.
3. Account Registration and Security
To access most features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately at mugainjue.dc@gmail.com of any unauthorized use of your account
You may not create more than one account, use another person's account, or create an account on behalf of someone else without their express written consent. Accounts are non-transferable. We will not be liable for any losses resulting from unauthorized access to your account that results from your failure to safeguard your credentials.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is intended to facilitate genuine, in-person social connections. You may not use the Service in any manner that:
4.1 Prohibited Conduct
- Violates any applicable federal, state, local, or international law or regulation
- Harms, harasses, stalks, threatens, intimidates, or discriminates against any person
- Facilitates or promotes sexual exploitation, trafficking, or abuse of any kind
- Involves posting false, misleading, or fraudulent information about yourself or your hangouts
- Impersonates another person, organization, or entity
- Involves creating fake profiles or using the Service with a false identity
- Involves soliciting personal information from other users for any commercial purpose
- Involves any form of commercial solicitation, advertising, or spam
- Interferes with or disrupts the integrity or performance of the Service
- Attempts to gain unauthorized access to any part of the Service or its systems
- Uses automated tools, bots, scrapers, or similar technologies to access the Service
- Uploads viruses, malware, or any other malicious code
- Engages in any activity that constitutes a criminal offense in New Jersey or in the jurisdiction where you are located
4.2 Prohibited Content
You may not post, transmit, or share content that:
- Is sexually explicit, obscene, or pornographic
- Constitutes hate speech targeting any individual or group based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics
- Depicts or promotes violence, self-harm, or harm to others
- Reveals another person's private information without their consent ("doxxing")
- Infringes any third-party intellectual property, privacy, or other rights
- Contains false or misleading information that could endanger health or safety
5. Hangout-Specific Rules
When posting or joining hangouts, you additionally agree to:
- Only post hangouts you genuinely intend to attend
- Not use hangout listings as a pretext for illegal activity, including but not limited to drug transactions, solicitation of sex work, or any criminal enterprise
- Respect the confirmed attendees and not cancel habitually without reasonable cause
- Honor the terms of hangouts you create (stated activity, location, and time)
- Not charge other users money to attend a hangout without clearly disclosing this in the hangout listing
- Not create hangouts designed to lure, defraud, or harm attendees
SocialIRL is not responsible for the conduct of users during hangouts or for any harm that results from in-person meetings arranged through the platform. See Section 9 for Limitation of Liability.
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of the content you post to the Service ("User Content"), including profile photos, hangout descriptions, and messages. By posting User Content, you grant SocialIRL a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display the User Content in connection with operating and promoting the Service. This license terminates when you delete the content or your account.
You represent and warrant that you own or have the necessary rights to all User Content you post, and that your User Content does not violate any third-party rights or these Terms.
6.2 SocialIRL Intellectual Property
The Service, including all software, design, graphics, logos, and content created by SocialIRL, is owned by SocialIRL Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or otherwise exploit our intellectual property without our prior written consent.
7. Account Suspension and Termination
We may suspend, restrict, or permanently terminate your account at any time, with or without notice, for any of the following reasons:
- Violation of these Terms or our Community Standards
- Conduct that poses a safety risk to other users or third parties
- Providing false information during registration or verification
- Inactivity for more than 24 consecutive months
- Receipt of a valid legal order requiring termination
- Any reason we determine is necessary to protect the integrity and safety of the platform
You may terminate your account at any time through Settings โ Account โ Delete Account. Upon termination, your license to use the Service immediately ends, and we will process deletion of your personal data in accordance with our Privacy Policy.
Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, indemnification, and limitation of liability) will survive termination.
8. Safety Features and Trusted Contacts
SocialIRL provides safety features including the Trusted Contact system, Women-Only mode, and location sharing. The SOS button alerts your designated trusted contact only โ it does not contact 911 or emergency services. By using these features, you acknowledge:
- These features are tools to assist with safety; they do not guarantee your safety
- You are responsible for designating a reliable and trustworthy contact
- SocialIRL is not responsible for the failure of safety features due to network issues, device failures, or other factors outside our reasonable control
- You must obtain consent from your trusted contact before designating them in the app
- SocialIRL is not liable for the actions or inactions of your trusted contact
9. Disclaimers and Limitation of Liability
9.1 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOCIALIRL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SOCIALIRL DOES NOT VERIFY THE IDENTITY OF ALL USERS, DOES NOT CONDUCT BACKGROUND CHECKS ON ALL USERS, AND DOES NOT GUARANTEE THE ACCURACY OF USER-PROVIDED INFORMATION. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALIRL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT; OR (E) ANY IN-PERSON MEETINGS ARRANGED THROUGH THE SERVICE.
IN NO EVENT SHALL SOCIALIRL'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO SOCIALIRL IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless SocialIRL, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Service; (d) your interaction with any other user of the Service; or (e) your violation of any applicable law or the rights of any third party.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be subject to good faith negotiation for at least 30 days. If the dispute is not resolved by negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in New Jersey.
YOU AND SOCIALIRL AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. If this class action waiver is found unenforceable, the entirety of the arbitration agreement shall be null and void.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice before material changes take effect, via email and in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Service and may delete your account.
13. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any other agreements specifically incorporated herein, constitute the entire agreement between you and SocialIRL regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any affiliate or successor in interest without restriction.
